Zelius Terms

1. Scope

These Zelius Terms govern access to Z-Files and Z-Files Pro: curated tender and procurement intelligence subscriptions, email digests, opportunity reports, bid-profile intake, and related intelligence features made available on zelius.ch.

Opportunity-specific managed proposal work, exclusivity, drafting packages, and success-fee engagements are not covered by these subscription terms alone. They require a separate order form, statement of work, or written agreement with Zephior Sarl.

2. Service Brand and Legal Entity

References to "Zelius", "we", "us", or "our" mean the Zelius service operated by Zephior Sarl. References to "you" or "customer" mean the person or legal entity using the service or entering into a subscription.

3. Z-Files Subscriptions

Z-Files

Z-Files provides curated home-market tender monitoring based primarily on public evidence about your company, such as sector, geography, portal registration, public procurement history, or other public signals.

Z-Files Pro

Z-Files Pro adds bid-profile based personalization, broader portal coverage where supported, configurable alerts, intelligence-inbox features, and other Pro features made available from time to time.

Service descriptions on zelius.ch are product descriptions, not guarantees that a specific tender, buyer, award, lead, contract value, or result will be found.

4. Pricing, Discounts, and Billing

Subscription prices are shown on the Z-Files pricing page and are billed through Stripe. Unless stated otherwise, fees are charged monthly in Swiss francs and are exclusive of applicable taxes.

Promotional discounts or free periods are applied only when you use a valid offer link. Public visitors do not receive invite-only discounts unless they have such a valid offer. Discount eligibility may be time-limited, plan-limited, and tied to the invited email address or company.

You may cancel a subscription for the next billing period. Amounts already paid for the current billing period are generally non-refundable unless required by law or separately agreed in writing.

5. Customer Responsibilities

You remain responsible for:

• your final bid / no-bid decisions;
• checking tender documents, portal notices, deadlines, eligibility, and requirements;
• pricing, commercial strategy, legal review, and your own approval process;
• submitting any tender, response, clarification, or application on time;
• performance of any contract you win.

6. Procurement Intelligence and Data Quality

Zelius may use public procurement portals, public company data, award history, sector classifications, user-provided bid profiles, and other available sources to generate reports or recommendations. Public procurement data can be incomplete, delayed, changed, misclassified, withdrawn, or unavailable without notice.

Reports are decision-support material. They are not legal advice, procurement advice, financial advice, tax advice, or a substitute for your own professional review.

7. No Guarantee of Outcomes

Zelius does not guarantee that you will find a suitable tender, win a tender, qualify for a procurement, receive a response from a buyer, or generate revenue from the service. Any fit score, go / no-go recommendation, or opportunity ranking is an analytical estimate.

8. Email Digests, Alerts, and Tracking

The service may send subscription confirmations, reports, product notifications, billing notifications, and operational emails. You may unsubscribe from non-essential emails. Transactional or billing emails may still be sent where needed to operate your subscription.

Zelius may measure clicks on links in emails to understand engagement and improve reports. Open tracking is not used unless separately enabled and disclosed. More detail is provided in the Privacy Policy.

9. Customer Data and Bid Profiles

If you submit a bid profile, you confirm that you are allowed to provide that information and that it is accurate enough for Zelius to use when personalizing reports. You should not submit confidential, regulated, or sensitive personal data unless it is necessary and you are authorized to do so.

Customer data is processed under the Zelius Privacy Policy and, where applicable, a data processing agreement with Zephior Sarl.

10. Intellectual Property

Zephior Sarl retains all rights in the Zelius service, software, models, methods, workflows, data-processing logic, scoring methods, and templates. You may use reports delivered to you for your own business purposes. You may not resell, scrape, bulk export, reverse engineer, or use the service to build a competing product or dataset.

11. Availability and Changes

Zelius is operated as an evolving service. Features, portal coverage, report formats, cadence, and supported markets may change. We may suspend access to protect the service, comply with law, prevent abuse, or address security or operational issues.

12. Liability

To the maximum extent permitted by Swiss law, Zephior Sarl is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from use of Zelius. Zephior Sarl's aggregate liability for a subscription claim is limited to the fees paid by you for the affected Z-Files subscription in the three months before the claim.

Nothing in these terms limits liability where limitation is not permitted by applicable law.

13. Governing Law and Venue

These terms are governed by the substantive laws of Switzerland, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts of Lausanne, Switzerland have exclusive jurisdiction, subject to mandatory law.
